These Website Terms of Service ("Terms") govern your access to and use of the websites, content, and online services operated by Next Step Innovation, LLC and its affiliates (collectively, "NSI," "we," "us," or "our") (the "Site").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site.

1. Purpose of the Site

The Site is provided for informational and marketing purposes only. The Site may include information about NSI, our products and services (including Asset Guard), thought leadership content, and contact or inquiry forms.

Nothing on the Site constitutes legal, compliance, cybersecurity, or professional advice, nor does it create a binding offer, warranty, or guarantee.

2. Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable laws or regulations;
  • Attempt to gain unauthorized access to the Site, servers, or networks;
  • Interfere with or disrupt the integrity or performance of the Site;
  • Scrape, crawl, reverse engineer, or reproduce Site content without authorization;
  • Use the Site to transmit malicious code, spam, or harmful content.

NSI reserves the right to restrict or terminate access to the Site for violations of these Terms.

3. Intellectual Property Rights

All content on the Site, including text, graphics, logos, icons, images, software, and trademarks, is owned by or licensed to NSI and is protected by applicable intellectual property laws.

You may view and download Site content for your internal, non-commercial use only. No content may be copied, reproduced, modified, distributed, or used for commercial purposes without NSI's prior written consent.

4. No Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NSI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

5. No Security or Compliance Guarantee

While NSI provides cybersecurity-related products and services, information presented on the Site does not constitute a guarantee of security, compliance, or regulatory approval.

Actual security posture, compliance outcomes, and risk mitigation depend on numerous factors and are governed solely by written agreements executed between NSI and its customers.

6. Third-Party Links

The Site may contain links to third-party websites or services. NSI does not control and is not responsible for the content, policies, or practices of third parties. Accessing third-party sites is at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

IN NO EVENT SHALL NSI'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE EXCEED $100 USD.

8. Indemnification

You agree to defend, indemnify, and hold harmless NSI and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site;
  • Your violation of these Terms; or
  • Your violation of any applicable law or third-party rights.

9. Privacy

Your use of the Site is subject to our Privacy Policy, which describes how we collect, use, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.

10. Changes to These Terms

NSI may update these Terms at any time. Changes will be effective when posted to the Site with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Mississippi, without regard to conflict of law principles.

Any legal action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Mississippi, and you consent to their jurisdiction.

These Website Terms of Service apply only to use of the public Site and do not replace or modify any master services agreement, subscription agreement, or statement of work entered into separately with NSI.
